1. Acceptance of Terms

By accessing or using Lyra (the “Service”), operated by Tensor Wave Inc. (“we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service.

We reserve the right to update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the new Terms.

2. Description of Service

Lyra is an AI-powered content creation platform that enables users to generate videos, scripts, and related content through artificial intelligence technologies. The Service includes:

  • AI-generated video content creation
  • Script generation and editing tools
  • Voice synthesis and audio generation
  • Channel management and content organization
  • Export and publishing capabilities

The Service relies on third-party AI and technology providers to deliver its features, including but not limited to providers of large language models, voice synthesis, video generation, and cloud infrastructure. Your content may be processed by these third-party providers as described in our Privacy Policy.

3. User Accounts

To use the Service, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use

You must be at least 18 years old to create an account and use the Service.

4. User Content & License Grant

This is a critical section. Please read carefully.

“User Content” means any content you provide, input, or create through the Service, including but not limited to video titles, scripts, prompts, settings, and any resulting generated content.

By creating content through the Service, you grant Tensor Wave Inc. a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to use, reproduce, modify, adapt, publish, display, distribute, and create derivative works from your User Content for:

  • (a) Providing, maintaining, and improving the Service
  • (b) Promotional and marketing materials, including showcasing generated content as examples
  • (c) Training, improving, and developing our AI models and technologies
  • (d) Research and development purposes
  • (e) Any purpose related to our business operations

This license survives termination of your account. We may continue to use User Content for the purposes described above even after you stop using the Service or delete your account.

You represent and warrant that you have all necessary rights to grant this license and that your User Content does not infringe any third party's intellectual property or other rights.

5. AI-Generated Content Ownership

Content generated by the Service using AI technologies (“Generated Content”) is subject to the following terms:

  • You receive a license to use Generated Content created through your account for personal and commercial purposes, subject to these Terms
  • We retain all rights in and to the AI models, algorithms, and technologies used to create Generated Content
  • We do not guarantee exclusive rights to Generated Content, as similar content may be generated for other users
  • The license grant in Section 4 applies to all Generated Content

6. Subscription & Billing

6.1 Subscription Plans

The Service offers various subscription tiers with different features, credit allocations, and pricing. Details are available on our pricing page.

6.2 Credits

Credits are used to generate content within the Service. Credits:

  • Are allocated based on your subscription tier
  • Refresh monthly on your billing date
  • Do not roll over to subsequent months
  • Are non-refundable and non-transferable

6.3 Billing

By subscribing, you authorize us to charge your payment method on a recurring basis. You may cancel at any time, and cancellation will take effect at the end of the current billing period.

6.4 Refunds

Subscription fees are generally non-refundable. We may, at our sole discretion, provide refunds or credits in exceptional circumstances.

7. Acceptable Use Policy

You agree not to use the Service to:

  • Create content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
  • Generate content that infringes intellectual property rights of others
  • Produce deepfakes or misleading content intended to deceive
  • Create content depicting minors in any inappropriate context
  • Generate content promoting violence, hate speech, or discrimination
  • Violate any applicable laws or regulations
  • Circumvent any technical limitations or security measures
  • Resell, redistribute, or sublicense access to the Service
  • Use automated systems to access the Service beyond intended functionality

We reserve the right to suspend or terminate accounts that violate this policy without refund.

8. Copyright Infringement & DMCA Policy

We respect the intellectual property rights of others and expect our users to do the same. If you believe that content on the Service infringes your copyright, you may submit a notice under the Digital Millennium Copyright Act (DMCA) to our designated agent:

Your notice must include:

  • Identification of the copyrighted work you claim has been infringed
  • Identification of the material you claim is infringing, with enough detail for us to locate it

  • A statement that you have a good faith belief that use of the material is not authorized by the copyright owner
  • A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on behalf of the owner
  • Your physical or electronic signature

We will respond to valid DMCA notices by removing or disabling access to the allegedly infringing material. Repeat infringers may have their accounts terminated.

9. Intellectual Property

The Service, including all software, AI models, designs, logos, and documentation, is owned by Tensor Wave Inc. and protected by intellectual property laws. Nothing in these Terms grants you any rights to our intellectual property except as expressly stated.

10. Disclaimers & Limitation of Liability

10.1 Service Disclaimer

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 AI Content Disclaimer

AI-generated content may contain errors, inaccuracies, or unexpected results. You are solely responsible for reviewing and verifying all Generated Content before use.

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TENSOR WAVE INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Tensor Wave Inc., its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your User Content, or your violation of these Terms.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination:

  • Your right to access the Service immediately ceases
  • We may delete your account and associated data
  • The license grant in Section 4 survives termination
  • Sections that by their nature should survive will remain in effect

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive any right to participate in class action lawsuits or class-wide arbitration.

14. Changes to Terms

We may modify these Terms at any time by posting the updated Terms on our website. Material changes will be communicated via email or through the Service. Your continued use after changes take effect constitutes acceptance of the new Terms.

15. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and Tensor Wave Inc. regarding the Service.
  • Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
  • Waiver: Failure to enforce any right does not constitute a waiver of that right.
  • Assignment: You may not assign these Terms without our consent. We may assign our rights without restriction.
